Privatization

Advice to public bodies and investors on bringing state-owned enterprises, assets and services into private ownership or operation.

Context

A global trend toward private ownership.

Governments around the world are shifting services and enterprises into the private sector through privatization.

Privatization goes further than simply returning once-private firms to the business sector.

Our mandate

Advising Turkey's Privatization Administration.

Drawing on accumulated experience and knowledge, User Corporation has provided advisory services to Turkey’s Privatization Administration (Özelleştirme İdaresi Başkanlığı), the public body responsible for privatizations in Turkey.

Methods

Choosing the right route.

Turkish privatization law (Law No. 4046) allows several routes, from an outright sale to granting operating rights. The right choice depends on the asset, the public objective and the investors likely to compete.

01

Block sale

The sale of a controlling or significant stake to a strategic or financial investor through a competitive tender.

02

Public offering

Shares offered to the public, typically through a listing on Borsa Istanbul.

03

Operating rights

Granting the right to operate an asset, such as a port, power plant or airport, for a defined period.

04

Lease and usufruct

Leasing assets or establishing usufruct and other property rights short of a full transfer of ownership.

05

Asset sales

The sale of individual assets, plants or real estate held by public enterprises.

06

Partial and staged models

Combinations of the above, including profit-sharing models and phased sales.

Who we advise

Both sides of a privatization.

We advise the public side on preparing and running a sale, and investors on competing for it. On any single tender we act for one party only.
